How to setup a Branch in Italy
Please find below the procedure to establish an Italian branch of a UK company.
You shall provide uswith:
- – a copy of passport(s) of the beneficial owner(s) of the company that intends to establish a branch in Italy (or a copy of the certificate(s) of incorporation if the shares are held by other companies);
- – a special resolution of the board of directors (or sole director) of the foreign company that shall (i) authorize the establishment of a branch in Italy and indicatethe address of theItalian branch (ii) appoint a legal representative (resident or non resident) of the branch. If the legal representative of the branch is a non Italianresident, we will need to register him with the Italian tax Authority;
- – a notarized and apostilled (or legalized)power of attorney (the wording of which we can of course draft) to give us the powers to represent the company in connection with the establishment of a branch in Italy and to open a bank account for the company; alternatively, if an empowered of the Company can travel to Italy to personally execute the documents for the establishment of the branch, we will not need the apostilled PoA;
- – a certificate of incorporation(or similar document) of the company that intends to establish a branch in Italy (including the company’s bylaws and the name(s) of the shareholder(s) and director(s)notarized and apostilled (or legalized) pursuant to the laws of country of incorporation of the company.
All the above documents shall be translated in Italian and the translation shall be sworn by us (or by a certified translator).
Our fees (including preparing and filing all necessary documents, VAT application, opening a bank account,notary’s fees and Registrar of Companies duties and taxes) would be 5,000 euros.
